Cantourage UK provides wholesale distribution services of Cannabis-based Products for Medicinal Use (“CBPMs”) under our authority as the holder of a Schedule II Controlled Drug Licence and a Wholesale Dealers Authorisation (“WDA(H)”), to commercial partners holding the necessary applicable licenses within the United Kingdom (the “Services”).

1. Definitions and interpretation
1.1. For clarity, in these Terms references to “we”, “us”, “our”, “Cantourage UK” and “Website Operator” are references to Cantourage UK Ltd. References to “you”, “your”, “user”, and “Authorised User” are references to the visitor of the Website. For the avoidance of doubt, a visitor includes anyone who engages in accessing, browsing, and in any other way interacting with the Website. These Terms govern your use of the Website in equal measure when browsing or when contacting us via the forms included on the Website.
1.2. "Applicable Laws" means all laws, regulations, regulatory codes, mandatory standards and binding guidance of any competent court, regulator or governmental authority, as in force from time to time and to the extent applicable to the relevant party or activity, including (without limitation) those relating to controlled drugs and medicinal products, data protection and electronic communications, computer misuse and fraud, bribery, money laundering and financial crime, modern slavery, export controls and sanctions, and (in respect of users established outside the United Kingdom) the equivalent laws and regulatory standards in force in their home jurisdiction.

2.2 Unless otherwise specified, the materials on this Website are directed solely at users who are acting in the course of a healthcare or pharmaceutical trade, business, craft or profession, and who fall within one or more of the following categories of authorised user (the “Authorised User(s)”):
2.2.1 UK Distributors and Wholesalers holding a Wholesale Dealer's Authorisation (WDA(H)) issued by the MHRA, together with a Schedule 2 Controlled Drug Licence issued by the UK Home Office, and operating in accordance with Good Distribution Practice (GDP);
2.2.2 UK Pharmacies registered with the General Pharmaceutical Council (GPhC) and operating in accordance with the GPhC's standards, rules and guidance, and holding any further licences or authorisations required to handle CBPMs in the course of their pharmacy practice;
2.2.3 UK Clinics and Prescribers registered with the Care Quality Commission (or the equivalent regulator in the relevant UK jurisdiction), whose prescribing specialists are entered on the Specialist Register of the General Medical Council, and which hold any further licences or authorisations required to prescribe or handle CBPMs;
2.2.4 cultivators, manufacturers, suppliers, healthcare providers, persons or entities who:
(i) hold all licences, authorisations, registrations and permissions required under the laws of their home jurisdiction (and of any other jurisdiction in which they operate) to cultivate, produce, manufacture, process, possess, store, export and supply CBPMs and their constituent materials;
(ii) operate in accordance with the quality standards applicable to their activities, including (as relevant) Good Agricultural and Collection Practice (GACP), Good Manufacturing Practice (GMP) and Good Distribution Practice (GDP), or any equivalent standards recognised in their home jurisdiction; and
(iii) acknowledge that any supply of CBPMs into the United Kingdom must be made to or through a UK counterparty holding the necessary UK import, wholesale, manufacturing and/or controlled drug licences, and that nothing on this Website constitutes an offer or invitation to supply CBPMs into the UK other than via such a licensed pathway; and
2.2.5 other commercial entities holding all licences, authorisations, registrations and permissions required under Applicable Laws (whether of the UK or, where relevant, of their home jurisdiction) to perform their role in the supply chain for CBPMs, including (without limitation) consultancies, compliance professionals and logistics providers.
2.3 Authorised Users must at all times hold and maintain in good standing, the licences, authorisations, registrations and certifications applicable to their category of activity and jurisdiction, and must comply with all corresponding regulatory standards, codes of practice and Applicable Laws governing their handling of CBPMs.
2.4 Cantourage UK makes no representation that any information contained on this Website is relevant or appropriate for use in any other territories. Cantourage UK makes no representation that any Services referred to on this Website are available in any territory outside the United Kingdom and accepts no responsibility for any reliance placed on this information.
3.1. This Website is intended to be a convenient resource for Authorised Users to reference information about Cantourage UK and its Services. Authorised Users are able to use the Website to contact Cantourage UK to register their interest or request further information on the Services provided by Cantourage UK.
3.2 The Website is not an e-commerce or ordering platform. No part of the Website constitutes an offer to sell, supply, prescribe or dispense any CBPM or other medicine to any person, and no content on the Website is intended as medical advice, a recommendation to use any specific product, or a substitute for consultation with a qualified specialist healthcare professional.

4.1.1 The Website and all content made available through it, including text, graphics, logos, branding, images, software, audiovisual material, layout, design and other materials (collectively, the “Cantourage Content”), are owned by or licensed to Cantourage UK or its licensors and are protected by copyright, trade mark and other intellectual property laws.
4.1.2 Authorised Users may access, view and download reasonable extracts of the Cantourage Content solely for their lawful internal business purposes in connection with evaluating Cantourage UK and its Services.

6. Acceptable use of the Website
6.1 You must use the Website only for lawful purposes and in accordance with this paragraph 6 and all Applicable Laws (including without limitation the Computer Misuse Act 1990, the Fraud Act 2006, the Data Protection Act 2018, the UK GDPR, the Privacy and Electronic Communications (EC Directive) Regulations 2003, the Bribery Act 2010, the Human Medicines Regulations 2012, the Misuse of Drugs Act 1971 and any applicable export controls and sanctions regimes). You must not use the Website in any way that is unlawful, fraudulent, deceptive, harmful or that has any unlawful, fraudulent, deceptive or harmful purpose or effect.
6.2 Using Contact Forms
6.2.1 The Website provides facilities for users to contact us, including via our online contact and partnership enquiry forms and via email addresses published on the Website (together, the "Contact Facilities"). The Contact Facilities are provided for the sole purpose of enabling prospective commercial partners, healthcare professionals and any other Authorised Users to register their interest, make initial contact with us or receive further information.
6.2.2 By submitting an enquiry through any Contact Facility, you represent and warrant that:
(i) all information you provide (including your name, contact details, company name and category of user) is true, accurate, complete and not misleading, and you will promptly notify us of any change;
(ii) you are an Authorised User as established under paragraph 2.2 and are duly authorised to submit the enquiry on behalf of the organisation (if any) that you purport to represent; and
(iii) you have obtained all consents required under Applicable Laws (including data protection laws) to provide to us any personal data of any third party included in your enquiry.
6.2.3 Submission of an enquiry does not create any contractual relationship between you and Cantourage UK, nor any obligation on our part to respond, to enter into any commercial relationship with you, or to supply any Service. Any business relationship will be governed by a separate written agreement between us.
6.2.4 We reserve the right, in our sole reasonable discretion and to the extent permitted by Applicable Laws, to refuse, ignore, suspend or terminate any enquiry, and to decline to enter into any commercial relationship with any Authorised User, without giving reasons. Before responding substantively to any enquiry, or at any time thereafter, we may carry out such due diligence as we consider appropriate, including:
(i) verifying the existence and good standing of the licences, authorisations, registrations and certifications referred to in paragraph 2.2;
(ii) carrying out credit, sanctions, anti-bribery, anti-money-laundering and reputational checks; and
(iii) requesting such further information and supporting documentation as we may reasonably require,
and you shall promptly provide such information and documentation as we may reasonably request for these purposes.
6.3 Prohibited Use of the Contact Facilities
6.3.1 You must not use the Contact Facilities to:
(i) send any communication that is unlawful, defamatory, obscene, harassing, threatening, discriminatory or otherwise objectionable;
(ii) impersonate any person, or misrepresent your identity, affiliation or licensing status;
(iii) send bulk, unsolicited or automated communications, marketing material, "spam" or chain messages;
(iv) harvest, scrape or otherwise collect email addresses, contact details or other information from the Website;
(v) transmit any virus, worm, Trojan horse, ransomware, spyware, keylogger, logic bomb or other malicious code, or any file or link intended to damage, disrupt or gain unauthorised access to our systems;
(vi) attempt to deceive us as to your identity, eligibility or intentions, including by providing false self-categorisation as an Intended User in order to obtain information or engagement to which you would not otherwise be entitled; or
(vii) seek, procure or facilitate the unlawful supply, prescription or dispensing of any CBPM or other medicinal product otherwise than through the lawful regulatory pathway applicable under Relevant Laws.
6.4 Prohibited Technical Conduct
6.4.1 You must not, and must not permit any third party to:
(i) access or attempt to access any non-public part of the Website, any related systems, or any back-end or administrative functionality, without our prior express written authorisation;
(ii) circumvent, disable or otherwise interfere with any security, rate-limiting, audit-logging, bot-detection or access-control feature of the Website;
(iii) introduce, transmit, upload or facilitate the introduction of any virus, worm, Trojan horse, ransomware, spyware, keylogger, logic bomb or other malicious code;
(iv) conduct, or attempt to conduct, any penetration test, vulnerability scan, denial-of-service attack, brute-force attack, credential-stuffing attack or other security probe against the Website, except with Cantourage UK's prior express written consent and within an agreed scope;
(v) use any robot, spider, scraper, crawler or other automated means to access, monitor, copy or index any part of the Website or its content, except for search-engine indexing carried out in compliance with our robots.txt file and other publicly published instructions;
(vi) reverse engineer, decompile, disassemble or otherwise attempt to derive the source code, underlying structure or algorithms of the Website, except to the extent permitted by section 50B or sections 296A–296ZF of the Copyright, Designs and Patents Act 1988 and which cannot lawfully be excluded by contract;
(vii) impose an unreasonable or disproportionately large load on the Website infrastructure or otherwise interfere with the proper working of the Website; or
(viii) use the Website or any content on it to train, fine-tune or develop any artificial intelligence, machine learning or generative model, except with our prior express written consent.
6.4.2 You must promptly notify us of any vulnerability or defect you discover in the Website via email and must not publish, exploit or disclose any such vulnerability to any third party without our prior written consent.

6.5.1 Without prejudice to other rights and remedies available to us, we may, in our sole discretion and without prior notice, block, restrict or revoke your access to the Website (in whole or in part), refuse to respond to or act upon any enquiry, and take any other action we consider appropriate (including reporting suspected criminal activity to the relevant authorities) if we reasonably believe that you have breached, or are likely to breach, this paragraph 6.
7. Limitations of Liability
7.1 Whilst Cantourage UK has worked diligently to provide accurate and complete information, it will not be liable to any person for any loss or damage which may arise directly or indirectly from the use of this Website (or any inability to use it) or any of the information contained on this Website if that loss:
(i) is not reasonably foreseeable by you and Cantourage UK at the time you first access the Website;
(ii) amounts to any indirect or consequential loss, loss of profit, loss of business, loss of anticipated savings, or loss of or damage to goodwill;
(iii) results from your use of the Website other than in accordance with these Terms or the default of any party other than Cantourage UK; or
(iv) results from events outside of Cantourage UK’s reasonable control.
7.2 Cantourage UK cannot guarantee that this Website will be available to you at any time and accepts no responsibility to you if it is unavailable from time to time. This Website and the information and material which it contains are subject to change without notice. Access to all or part of the Website may be suspended without notice.
7.3 Except as expressly stated in these Terms, the Website is provided on an “as is” and “as available” basis. Cantourage UK makes no representation, warranty or guarantee that the Website will be uninterrupted, error-free, secure or fit for any particular purpose.
7.4 Nothing in these Terms excludes or limits Cantourage UK’s liability for death or personal injury arising from its negligence, or for fraud or fraudulent misrepresentation, or for any other liability which cannot be limited or excluded by applicable law.
7.5 The information presented on this Website is intended for use by Authorised Users for the purposes of paragraph 2.2. It is not intended that any information presented on this Website be used for clinical, diagnostic or treatment purposes.
7.6 For the avoidance of doubt, this paragraph 7 governs Cantourage UK’s liability in respect of your use of the Website only.
You shall indemnify and keep indemnified Cantourage UK, its affiliates, officers, employees and agents against all losses, liabilities, costs, claims and expenses (including reasonable legal fees) arising out of:
(i) your breach of these Terms;
(ii) your misuse of the Website;
(iii) your breach of Applicable Laws; or
(iv) any information or material submitted by you through the Contact Facilities.
9.1 You may choose to provide Cantourage UK with information about yourself or your business in the course of using this Website. By doing so, you expressly consent to Cantourage UK using this data in accordance with these Terms and our Privacy Policy. Any information collected in connection with your use of this Website may be processed and stored by Cantourage UK or any of its affiliate companies for the purposes set out in our Privacy Policy. The information you provide will not be sold to third parties and will not be used for any direct marketing or unsolicited communication unless you give us permission. It may also be used internally by Cantourage UK to assess the function of the Website and the needs of our customers.
9.2 Your personal information may be processed outside the United Kingdom in countries that do not have the same standards of protection for personal information as the United Kingdom. If your personal information is processed outside the United Kingdom, we will take steps to ensure that your personal information is adequately protected as required by applicable data protection law, including (where appropriate) entering into the International Data Transfer Agreement, the International Data Transfer Addendum to the EU Standard Contractual Clauses, or relying on a UK adequacy decision.

However, by submitting information through the Website, you grant Cantourage UK the right to use such information to respond to enquiries, conduct due diligence, evaluate potential commercial relationships and otherwise operate the Website and its business activities.

12. Governing Law and Jurisdiction
12.1 These Terms and any dispute or claim arising out of or in connection with them, their subject matter or formation (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of England and Wales.
12.2 The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation.
